Mike Rosenthal received both his undergraduate and law degrees from the University of Florida. He has been practicing law since 1980. Mike began his career as an Assistant Attorney General for the State of Georgia. Following his entry into private practice in 1984, Mike remained active in service to the State of Georgia, both in the Governor’s Office of Consumer Affairs (as Coordinator of Special Projects) and as Special Assistant Attorney General. Mike’s practice primarily involves the representation of franchise, distribution, professional and service industry clients, providing both day-to-day business counseling and advice. Mike is a member of the ABA’s Forum on Franchising and the Georgia Bar’s Franchise and Distribution Law Section. A substantial majority of his time is devoted to representing franchisors and franchisees. Typical franchisor clients include start-up franchisors and systems of 250 or fewer units. Mike prepares their Franchise Disclosure Documents and state franchise registrations, as well as counsels them on the legal side of the franchise sales process, franchisee compliance and all other matters. Typical franchisee clients ask Mike to assist with everything from single unit FDD reviews, corporate and leasing matters to advising multi-unit and multi-system franchisee operators with more complex structures. Mike and his firm also represent both franchisors and franchisees in resolving disputes through mediation, arbitration and in the courts. Mike has represented innumerable start-up companies, but has many clients that he has represented since the 1980’s. Mike particularly enjoys working with clients in the planning stages in order to assist them in growing and transitioning their businesses. Mike served 7 years as an independent director for Inland Retail Real Estate Trust, Inc., a public company which was sold in 2007 for $6.2 Billion.

Dave Wilkins has over 30 years experience working for companies such as E&Y, Whitridge Associates, PriceWaterhouseCoopers and IBM in business and technology management and consulting. He is currently the Senior Vice President of Sterling Rose Consulting Corp and the Business Unit Manager for the Business Technology Division of Sterling Rose Consulting. Originally from Michigan, he has a BBA and MBA from the University of Michigan, and he has been a resident of Gwinnett County, GA for over 20 years. In his 30 years in business and technology, he has worked with clients in multiple business sectors including finance, manufacturing, energy, healthcare and government, among others.
